Kuzu Toplu Konut İnşaat tarafından sahip olunan ve Kuzugrup GYO sermayesinin %3 oranına karşılık gelen 6.000.000 adet payın, hisse başına 21 TL fiyat üzerinden Tera Yatırım portföyüne devredilmesine yönelik toptan alış satış işlemi için Borsa İstanbul'a başvuruldu.

An application was submitted to Borsa İstanbul A.Ş. on September 8, 2026, for a wholesale transaction involving the transfer to our Company's portfolio, at a price of TRY 21 per share, of 6,000,000 shares with a total nominal value of TRY 6,000,000, owned by Kuzu Toplu Konut İnşaat Anonim Şirketi, a shareholder of Kuzugrup Gayrimenkul Yatırım Ortaklığı A.Ş. (KZGYO), corresponding to 3.0000% of KZGYO's issued share capital.

Our Company will act as both the buying member and the selling member in the transaction. Information regarding the buyer is provided in Annex-1 List of Buyers.

The shares to be sold, with a total nominal value of TRY 6,000,000, are currently classified as non-exchange-traded shares, and their conversion into exchange-traded shares will be completed as of the transaction date.

The sale price for the transaction has been determined in accordance with the provisions of Borsa İstanbul's "Procedure on Wholesale Transactions." The sale is expected to be executed on September 10, 2026, and the settlement of the transaction is expected to be completed within the Equity Market settlement process. There are no pledges, attachments, collateral or any other similar encumbrances over the shares subject to the sale that would prevent their transfer or sale. An application was submitted to Borsa İstanbul on September 8, 2026, for the transaction to be carried out within the scope of Borsa İstanbul A.Ş.'s Procedure on Wholesale Transactions.
