The statement submitted to us by our shareholder, the Directorate General of Ordu Yardımlaşma Kurumu ("OYAK"), is set out below;
As a result of the increase in the share capital of Hektaş Ticaret T.A.Ş. ("Hektaş"), in which we are a shareholder, from TRY 8,430,000,000 to TRY 9,132,064,896.76 through a private placement capital increase of TRY 702,064,896.76, the nominal value of our shares in Hektaş increased from TRY 3,950,848,975.06 to TRY 4,652,913,871.82, and our voting rights increased to 50.95% from 46.87%, which was our shareholding percentage prior to the capital increase.
Given that OYAK's voting rights in Hektaş have once again exceeded 50%, we have concluded that no mandatory tender offer obligation has arisen pursuant to Article 14, paragraph 1, subparagraph (c) of the Capital Markets Board's Communiqué No. II-26.1 on Takeover Bids.
In the event of any discrepancy between the Turkish and English versions of this disclosure, the Turkish version shall prevail.
