Various social media platforms and digital channels have recently featured inaccurate and misleading comments and allegations concerning the shares of our Company. In line with the importance we attach to the transparency of capital markets and to ensuring that our investors are provided with accurate information, it has become necessary to make the following statement.
Neither the shareholders of Pasifik Group nor its subsidiaries and affiliates have engaged in any purchase or sale transactions with the funds that have recently been the subject of public discussion and that are marketed to investors, whether publicly traded on TEFAS or not. Furthermore, no shares, including shares of PASEU (Pasifik Eurasia Lojistik Dış Ticaret A.Ş.), have been sold to such funds.
On April 29, 2026, PASEU shares were transferred by the principal shareholders of Pasifik Group and one of its non-publicly traded subsidiaries to the PHB Fund, managed by Pusula Portföy Yönetimi A.Ş., which is a closed-end fund that is not traded on TEFAS and is not marketed to the public. The transfer was carried out at the prevailing market prices on that date, and fund participation units were acquired in consideration thereof. The relevant transfer transactions were disclosed to the public and investors through the Public Disclosure Platform (KAP) on April 29, 2026.
These transfers were carried out for the purpose of managing the relevant parties' securities investments and portfolios in accordance with an institutional portfolio management approach. No sales proceeds were generated from these transactions; rather, the shares previously held in personal accounts began to be held within the relevant PHB Fund. The shares in question continue to be held in the Fund, and the necessary applications have been submitted to the relevant authorities for the liquidation of the Fund through the return of these shares in kind.
Furthermore, we have no information regarding, control over, or responsibility for the current status of PASEU shares held by other investment funds or as to how and at what prices such shares may have been purchased or sold.
The dissemination of false or misleading information intended to influence investors' decisions in the capital markets may constitute acts giving rise to legal and criminal liability under the applicable capital markets legislation and the Turkish Criminal Code.
Our Company is initiating the necessary legal and criminal proceedings against individuals and entities that prepare, disseminate, or participate in the dissemination of false and misleading content, with a view to protecting the rights and interests of our investors, shareholders, and all other stakeholders.
In this context, the necessary applications and criminal complaints will be filed with the competent Chief Public Prosecutors' Offices and the Capital Markets Board of Türkiye, and our Company will resolutely exercise all legal rights available to it against any acts that may harm its commercial reputation or the rights and interests of our investors.
