In the previous disclosure statement dated 2 October 2024, it was announced that the acquisition of 94.7% of the shares of Mannok Holdings DAC ("Mannok") by Cimsa Ireland Ltd, a wholly-owned subsidiary of Cimsa Building Solutions B.V., a subsidiary of Cimsa, had been completed as of 2 October 2024.

The remaining 5.3% equity interest held by Mannok's minority shareholders has been acquired by Cimsa Ireland Ltd on 22 May 2026 for a consideration of EUR 20,483,288, with the purchase price paid in full and in cash. Consequently, all shares representing Mannok's equity (100%) have been transferred to Cimsa Ireland Ltd, and hence Cimsa Building Solutions B.V., a subsidiary of Cimsa, has acquired indirect control over the entirety of Mannok's equity shares.

In case of a discrepancy between the Turkish and English versions of this public disclosure statement, the Turkish version shall prevail.
