Yeni kurulacak şirketlerden Almeram Enerji Dağıtım ve Perakende Satış Hizmetleri Anonim Şirketi'nin sermaye paylarının tamamı Alarko Enerji'ye ve yeni kurulacak şirketlerden Bigacen Enerji Yatırımları Anonim Şirketi'nin sermaye paylarının tamamı Cengiz Enerji'ye ait olacak.

As previously announced to the public, a preliminary protocol was executed between our subsidiary Alarko Enerji A.Ş. ("Alarko Enerji") and Cengiz Enerji Sanayii ve Ticaret Anonim Şirketi ("Cengiz Enerji") for the purpose of establishing a structure whereby the Cenal Karabiga Thermal Power Plant, which is under the control of Alcen Enerji Dağıtım ve Perakende Satış Hizmetleri Anonim Şirketi ("Alcen"), our joint venture under the joint management of Alarko Enerji and Cengiz Enerji, would be held by Cengiz Enerji; and all shares of the companies operating in electricity distribution (MEDAŞ), electricity sales (MEPAŞ and MESAŞ) and other related fields, which are under the control of Alcen, would be held by Alarko Enerji. The approval of the Turkish Competition Authority has been obtained for the implementation of the relevant transactions.

At the Extraordinary General Assembly Meeting of Alcen held on 16.06.2026, a resolution was adopted regarding the implementation of the abovementioned transactions, and pursuant to such resolution, all shares representing the share capital of Almeram Enerji Dağıtım ve Perakende Satış Hizmetleri Anonim Şirketi, one of the companies to be newly incorporated, will be owned by Alarko Enerji, and all shares representing the share capital of Bigacen Enerji Yatırımları Anonim Şirketi, one of the companies to be newly incorporated, will be owned by Cengiz Enerji.

The necessary applications will be made for the registration of the relevant general assembly resolution with the trade registry, and this transaction will become effective upon its registration with the trade registry.
